Voting Prohibition Statement
In accordance with section 250BD of the Corporations Act, a person appointed as a proxy must not vote, under that
appointment, as a proxy on this Resolution if:
(a) the proxy is either:
(i) a member of the Key Management Personnel; or
(ii) a Closely Related Party of such a member; and
(b) the appointment does not specify the way the proxy is to vote on this Resolution.
4
However, the above prohibition does not apply if:
(a) the proxy is the Chairperson; and
(b) the appointment expressly authorises the Chair to exercise the proxy even if the Resolution is connected directly
or indirectly with remuneration of a member of the Key Management Personnel.
In accordance with the Corporations Act, if any Shareholder is an existing or potential employee or Director of the
Company (or a Related Body Corporate), or an associate of such a person, and wishes to preserve the benefit of this
Resolution for that person in respect of any termination benefit provided under the Plan, they should not vote on the

EXPLANATORY STATEMENT
This Explanatory Statement has been prepared to provide information which the Directors
believe to be material to Shareholders in deciding whether or not to pass the Resolutions.
1. FINANCIAL STATEMENTS AND REPORTS
In accordance with the Constitution, the business of the Meeting will include
receipt and consideration of the annual financial report of the Company for the
financial year ended 30 June 2026, together with the declaration of the directors,
the directors’ report, the Remuneration Report and the auditor’s report.
The Company will not provide a hard copy of the Company’s annual financial
report to Shareholders unless specifically requested to do so. The Company’s
annual financial report is available on its website at www.horizongold.com.au.
2. RESOLUTION 1 – ADOPTION OF REMUNERATION REPORT
2.1 General
The Corporations Act requires that at a listed company’s annual general meeting,
a resolution that the Remuneration Report be adopted must be put to the
shareholders. However, such a resolution is advisory only and does not bind the
company or the directors of the company.
The Remuneration Report sets out the Company’s remuneration arrangements for
the Directors and senior management of the Company. The Remuneration
Report is part of the directors’ report contained in the annual financial report of
the Company for a financial year.
The chair of the meeting must allow a reasonable opportunity for its shareholders
to ask questions about or make comments on the remuneration report at the
annual general meeting.
2.2 Voting consequences
A company is required to put to its shareholders a resolution proposing the calling
of another meeting of shareholders to consider the appointment of directors of
the company (Spill Resolution) if, at consecutive annual general meetings, at least
25% of the votes cast on a remuneration report resolution are voted against
adoption of the remuneration report and at the first of those annual general
meetings a Spill Resolution was not put to vote. If required, the Spill Resolution
must be put to vote at the second of those annual general meetings.
If more than 50% of votes cast are in favour of the Spill Resolution, the company
must convene a shareholder meeting (Spill Meeting) within 90 days of the second
annual general meeting.
All of the directors of the company who were in office when the directors' report
(as included in the company’s annual financial report for the most recent financial
year) was approved, other than the managing director of the company, will
cease to hold office immediately before the end of the Spill Meeting but may
stand for re-election at the Spill Meeting.
Following the Spill Meeting those persons whose election or re-election as directors
of the company is approved will be the directors of the company.
6
2.3 Previous voting results
At the Company’s previous annual general meeting the votes cast against the
Remuneration Report considered at that annual general meeting were less than
25%. Accordingly, the Spill Resolution is not relevant for this Annual General
Meeting.
3. RESOLUTION 2 – RE-ELECTION OF DIRECTOR – PETER SULLIVAN
3.1 General
ASX Listing Rule 14.4 provides that, other than a managing director, a director of
an entity must not hold office (without re-election) past the third annual general
meeting following the director's appointment or 3 years, whichever is the longer.
However, where there is more than one managing director, only one is entitled
not to be subject to re-election.
The Constitution sets out the requirements for determining which Directors are to
retire by rotation at an annual general meeting.
Peter Sullivan, who has served as a director since 7 July 2020 and was last re-
elected on 23 November 2023, retires by rotation and seeks re-election.
3.2 Qualifications and other material directorships
Mr Sullivan is an engineer with experience as a non-executive director and in
senior executive roles, including in chief executive officer and operational roles
with gold producers. Mr Sullivan has global experience working in listed and
unlisted resource companies. He has 30 years' experience working with ASX-listed
resource companies and has a broad strategic perspective and understanding
of the long-term cyclical nature of the resources industry.
Mr Sullivan is currently a non-executive director of Alliance Nickel Limited
(ASX:AXN). Mr Sullivan has been a director of Alliance Nickel since 1996. He was
previously Managing Director and CEO of Resolute Mining Limited.
3.3 Board recommendation
The Directors (excluding Mr Peter Sullivan) support the re-election of Mr Peter
Sullivan and recommend that Shareholders vote in favour of Resolution 2.
4. RESOLUTION 3 – INCREASE IN NON-EXECUTIVE DIRECTOR FEE POOL
4.1 Purpose
The purpose of Resolution 3 is to authorise the Directors to increase the fee pool
to be paid to the Non-executive Directors on an annual basis.
4.2 General
Under Listing Rule 10.17, the Company must not increase the total aggregate
amount of Directors' fees payable by the Company to all of its Non-Executive
Directors without the approval of holders of its ordinary securities.
The Company's Constitution limits the aggregate amount of Directors' fees which
the Company may pay to the Non-Executive Directors to an amount or value
7
determined by the Board which does not in any financial year exceed in
aggregate the amount last determined by the Company in general meeting.
Details of the remuneration paid to the Company's Non-Executive Directors during
the financial year ended 30 June 2026 are set out in the Remuneration Report.
Shareholder approval is sought to increase the maximum aggregate annual
amount of Directors' fees that may be paid by the Company to Non-Executive
Directors for the following reasons:
(a) to accommodate the number of non-executive directors to be increased
in the future as the Company moves to become a gold producer;
(b) to attract new Directors of a calibre required to effectively guide and
monitor the business of the Company;
(c) due to the increased complexity and expected continued growth of the
Company and increased responsibilities for non-executive Directors; and
(d) to remunerate Non-Executive Directors appropriately for the
expectations placed upon them by both the Company and the
regulatory environment in which it operates.
If Resolution 3 is passed, the Company will be able to proceed to increase the
aggregate amount of fees available to be paid to Non-Executive Directors by
$250,000 from the current $250,000 per annum to an aggregate amount of
$500,000 per annum.
If Resolution 3 is not passed, the Company will not be able to proceed to increase
the aggregate amount of fees available to be paid to
Non-Executive Directors by $250,000 from the current $250,000 per annum to an
aggregate amount of $500,000 per annum. This may inhibit the ability of the
Company to increase the number of Non-Executive Directors and remunerate,
attract and retain appropriately skilled Non-Executive Directors.
Resolution 3 is an ordinary resolution.
The Chairperson intends to exercise all available undirected proxies in favour of
Resolution 3.
4.3 Specific information required by Listing Rule 10.17
The following information in relation to Resolution 3 is provided to Shareholders for
the purposes of Listing Rule 10.17:
(a) Shareholder approval is being sought to increase the fee pool by
$250,000, which would increase the annual remuneration pool from
$250,000 to $500,000.
(b) Subject to Shareholders approving Resolution 3, the maximum aggregate
amount of fees that may be paid to all of the Company’s Non-Executive
Directors will be $500,000 per annum.
(c) In the last three years, no securities have been issued to non-executive
Directors under Listing Rule 10.11 or 10.14.
(d) A voting exclusion statement is included in the Notice for Resolution 3.
8
4.4 Board recommendation
The Directors are excluded from voting on Resolution 3 pursuant to the Listing
Rules. Accordingly, the Directors decline to provide a recommendation to
Shareholders on Resolution 3.
5. RESOLUTION 4 – RATIFICATION OF PLACEMENT SHARES UNDER LISTING RULE 7.1
5.1 Background
On 4 March 2026, the Company announced a ~$30 million capital raising in the
form of a private placement of ~$20 million to institutional and high net worth
investors (Placement) and a 1 for 20 non-renounceable entitlement offer to
eligible shareholders (Entitlement Offer), both capital raising initiatives to be
undertaken at an issue price of $1.20 per Share.
In respect of the Placement, the Company issued 16,666,667 Shares at an issue
price of $1.20 per Share to the investors under the Placement (Placement Shares).
The Placement Shares were issued on Thursday, 12 March 2026, without
Shareholder approval pursuant to the Company's 15% placement capacity under
Listing Rule 7.1.
The investors who participated in the Placement included various institutional and
sophisticated investors (Placement Investors) identified by the joint lead managers
of the Placement, Evolution Capital Pty Ltd and Sternship Advisers Pty Ltd (Joint
Lead Managers).
5.2 General
Resolution 4 seeks Shareholder ratification pursuant to and in accordance with
Listing Rule 7.4 (and for all other purposes) of the issue of the Placement Shares
pursuant to the Company's 15% placement capacity under Listing Rule 7.1.
Resolution 4 is an ordinary resolution.
The Chairperson intends to exercise all available undirected proxies in favour of
Resolution 4.
5.3 Listing Rule 7.1
Broadly speaking, and subject to a number of exceptions, Listing Rule 7.1 limits the
amount of Equity Securities that a listed company can issue without the approval
of its shareholders over any 12-month period to 15% of the fully paid ordinary
securities it had on issue at the start of that period (15% Placement Capacity).
Listing Rule 7.4 provides that if the Company in a general meeting ratifies the
previous issue of Equity Securities made pursuant to Listing Rule 7.1 (and provided
that the previous issue did not breach Listing Rule 7.1) those Equity Securities will
be deemed to have been made with Shareholder approval for the purpose of
Listing Rule 7.1.
The issue of the Placement Shares does not fit within any of the exceptions to
Listing Rule 7.1 and, as it has not yet been approved by Shareholders, it effectively
uses up part of the Company's 15% Placement Capacity, thereby reducing the
Company’s capacity to issue further Equity Securities without Shareholder
9
approval under Listing Rule 7.1 for the 12-month period following the issue of the
Placement Shares.
If Resolution 4 is passed, the Placement Shares will be excluded in calculating the
Company’s 15% Placement Capacity in Listing Rule 7.1, effectively increasing the
number of Equity Securities it can issue without Shareholder approval over the 12-
month period following the date of issue of the Placement Shares.
If Resolution 4 is not passed, the Placement Shares will be included in the
Company's 15% Placement Capacity under Listing Rule 7.1, effectively
decreasing the number of Equity Securities it can issue without Shareholder
approval for the 12-month period following the issue of the Placement Shares.
5.4 Specific information required by Listing Rule 7.5
The following information in relation to Resolution 4 is provided to Shareholders for
the purposes of Listing Rule 7.5:
(a) The Placement Shares were issued to the Placement Investors, being
institutional and sophisticated investors identified by the Joint Lead
Managers. No investor under the Placement was a related party, a
member of the Company's key management personnel, a substantial
Shareholder or an adviser of the Company or an associate of any of those
persons.
(b) 16,666,667 Shares were issued pursuant to Listing Rule 7.1, ratification of
which is sought pursuant to Resolution 4.
(c) The Placement Shares are fully paid ordinary shares in the capital of the
Company and rank equally in all respects with the Company's existing
Shares on issue.
(d) The Placement Shares were issued at an issue price of $1.20 per Share,
raising a total of $20,000,000 (before costs).
(e) The Placement Shares were issued on Thursday, 12 March 2026.
(f) The funds raised from the Placement (together with the Entitlement Offer)
were, or will be used for:
(i) finalising the Feasibility Study for the Gum Creek Gold Project;
(ii) further exploration drilling and resource expansion; and
(iii) general working capital.
The proposed use of funds is indicative only and will be subject to
modification on an ongoing basis depending on the results obtained from
the Company's activities and other factors relevant to the Board's
discretion as to use of funding.
(g) The Placement Shares were issued pursuant to placement letters. Under
the placement letters, the Placement Investors agreed to be issued
Placement Shares at an issue price of $1.20 per Share.
(h) Evolution Capital Pty Ltd and Sternship Advisers Pty Ltd acted as the joint
lead managers to the Placement pursuant to an engagement letter on
10
standard terms and conditions for a capital raising engagement letter.
The Joint Lead Managers received a 2% management fee (plus GST) on
the proceeds from the Placement and a 4% selling fee (plus GST) on the
proceeds raised from the Placement, other than proceeds subscribed by
Zeta Resources Limited, directors and their related entities.
(i) A voting exclusion statement is included in the Notice for Resolution 4.
5.5 Board recommendation
The Board recommends that Shareholders vote in favour of Resolution 4.
6. RESOLUTION 5 – APPROVAL OF 10% PLACEMENT CAPACITY
6.1 Background
Resolution 5 is a special resolution to approve the Company's ability to uti
